Commercial and Business Transactions

Generally, Mr. Loomar negotiates, structures and confirms the purchase and sale agreement and all other related documentation relative to the specific transaction and then conducts or confirms the closing of the transaction. When representing a buyer in a transaction for a business acquisition, Mr. Loomar assists buyers with all non-tax related aspects of investigative due diligence, business evaluation, corporate formation, SBA or conventional loan financing, title insurance, non-competition agreements, employment agreements, franchises, business license transfers and lease assignments. Mr. Loomar advocates and promotes a reasonable investigative due diligence so a buyer may make an informed decision regarding the intended acquisition or transaction. When representing a seller in a transaction, Mr. Loomar negotiates, prepares all closing documentation, confirms the assignment of the seller's lease and conducts the closing of the transaction.

Mr. Loomar's services include the preparation, negotiation and enforcement of Asset Sale and Purchase Agreements, commercial and residential lease agreements, assignments and modification of leases, stock purchase and sale agreements, deposit receipts and contracts for sale and purchase of business assets, security instruments, indemnity agreements, partnership agreements, non-competition agreements, non-circumvention/non-solicitation agreements, exclusivity agreements and all other supporting documents relative to the specific transaction.

Corporate document preparation including corporate minutes, board resolutions, amendments to articles of incorporation, stock purchase and sale agreements, buy/sell agreements, asset purchases and sales, shareholder agreements, partnership agreements, formation of limited liability companies, employment agreements, non-competition agreements and management agreements.

Commercial litigation and trial practice in areas including commercial litigation, corporate and business disputes, pre-judgment and post-judgment replevin actions, collections, residential loans, foreclosures, landlord/tenant matters, probate, wills and trusts disputes in Federal, State and County Courts.
